Cardero Resources Corp. Announces Increase In Private Placement
Vancouver, B.C., September 21, 2017 --Cardero Resource Corp. (the Company) is pleased to announce that subject to demand it will increase in the previously announced non-brokered private placement for up to 7,500.000 units of the Company ("Units") at a price of $0.10 per Unit for aggregate cash proceeds of $750,000. The increase in the placement will now allow up to $875,000 to be raised. The gross proceeds will now be $875,000. As previously announced each Unit will be comprised of one common share and one common share purchase warrant. Each Warrant will entitle the holder to acquire an additional common share of the Company for a period of 36 months from the date of issue at a price of $0.15, provided that, if over a period of 20 consecutive trading days after the expiry of the hold period on the warrants, the daily volume weighted average trading price of the common shares of the Company on the TSX Venture Exchange (or such other stock exchange on which such shares are listed) is greater than $0.20, then at the Company's discretion, it may, within 10 days of such 20 day period, accelerate the expiry date of the Warrants to a date 30 days after the date of the notice.
Finders' fees may be payable on all or a portion of the funds raised under this financing.
The proceeds will be used to advance the Company's Zonia copper project in Arizona and for general working capital.
Near-term plans for the project include:
Exploration of the recently staked Silver Queen claim block, located southeast of and contiguous with the Zonia property. Exploration in the coming months will include geological mapping, soil sampling and potentially geophysics. The Silver Queen claim has a historical 400m x 2,700m anomalous magnetic low, parallel to the known Zonia deposit and interpreted to be magnetite-destructive alteration associated with mineralization at depth;
Advancing a preliminary economic assessment in early 2018;
This private placement is subject to regulatory approval, and the common shares, together with the shares issued on the exercise of the Warrants, will be restricted from trading for a period of four months and a day from the date of issuance of the Units, in compliance with securities legislation and TSX Venture Exchange policies.
John Drobe P.Geo., Cardero's Chief Geologist and a qualified person as defined by National Instrument 43-101, has reviewed the scientific information that forms the basis for this news release, and has approved the disclosure herein.
